Orrick Advises 890 Fifth Avenue Partners on Combination with BuzzFeed and $150 Million Convertible Senior Notes Offering

Orrick advised 890 5th Avenue Partners (NAS: ENFA), a special purpose acquisition company (SPAC) focused on tech, media and telecom, on its business combination with digital media company Buzzfeed, becoming the first publicly traded purely digital media company.

The new company is now known as BuzzFeed, Inc., and its shares of Class A common stock and warrants are trading today on the Nasdaq Capital Market under the symbols "BZFD" and "BZFDW", respectively. A $150 million convertible senior notes offering closed concurrently with the business combination.

The Orrick team advising 890 is led by Alice Hsu and includes Mark Mushkin, Travis Cherry, Anjel Bonilla, Peter Elias and Steven Malvey.
