Nicole Dolenz Partner

Paris

Nicole has more than 20 years’ experience representing clients in international arbitration and all forms of dispute resolution. Dual trained in both civil and common law jurisdictions, Nicole has conducted arbitrations under all the main international arbitration rules including the ICC, AAA, SCC, UNCITRAL, ICDR and ICSID as well as local European arbitration institutions such as the Vienna Chamber (VIAC), CEPANI, Swiss Chamber and DIS. Her cases have spanned a variety of industries including oil and gas, nuclear energy, aviation, construction, technology, food and beverages, transportation, and insurance.

 Nicole has worked on multi-billion dollar gas price review arbitrations for major European producers and several bet the company construction arbitrations, including an US$8 billion ICC arbitration for the world’s largest shipbuilder. She is frequently nominated to act as arbitrator and speaks and publishes regularly on questions of international commercial and investment arbitration, including The International Comparative Legal Guide to: Investor-State Arbitration 2019 – Country Questions and Answers: France. Nicole is a former member of the Executive Board and Global Boards of ICDR Y&I and practices in English, German, French and has a working knowledge of Spanish and Portuguese.  

 Prior to joining Orrick, Nicole practiced in one of the biggest law firms in the world in New York for six years, an Austrian firm in Vienna for five years and a major U.S. firm in Paris for seven years.

John Donaleski Partner

New York

John represents sponsors, debt providers (commercial banks, debt funds and other financial institutions (including ECAs and DFIs)), and equity providers (energy and infrastructure and private equity funds) in financings and acquisitions for various energy and infrastructure assets, including renewable power (including solar and wind), conventional power and a broad range of other infrastructure assets (including smart city and telecommunications infrastructure and oil and gas).   

Notably, he is experienced with a wide array of debt financing structures (including those placed in the commercial bank / term loan A, term loan B, private placement and direct lending markets), involving single-asset and multi-asset portfolios, whether in the form of senior secured project-level financings, or in the form of back-leveraged holdco and super holdco financings.

Lara Donnedieu de Vabres Senior Associate

Her practice focuses on mergers and acquisitions, corporate, venture capital and private equity, notably on cross-border transactions.

Prior to joining Orrick, Lara worked on corporate and tax matters as a legal intern at Orrick’s Paris office, Jeantet's Paris office and Arsène Taxand's Paris Office.

Emily Donohue Managing Associate

Emily advises high growth technology companies in general formation, venture capital and private equity financings, and corporate governance. In addition to advising companies, Emily represents investor firms in connection with their investments in private companies.

Emily received her JD from the University of Washington, where she was a member of the Technology Law and Public Policy clinical program and served as Editor-in-Chief of the Washington Journal of Law, Technology & Arts.

Prior to joining Orrick, Emily worked as a musician. She has released several recording projects, including an LP with Refresh Records.

Nathan Dooley Corporate Client Service Transformation Director

Austin

Nathan is the point person for the unit on transforming and re-engineering Orrick’s approach to corporate transactional work for its clients. This includes the redesign of workflows and processes in a way that, among things, leverages technology and data analytics and develops a robust knowledge management function.

Before his current position, he served as Orrick’s Chief Practice Officer for its Corporate Business Unit. In that capacity, he worked closely with business unit and practice group leaders to lead strategic and financial planning efforts, improve global operations and business management, and coordinate business development and lawyer recruiting.

Prior to Orrick, he served in a variety of capacities at Baker McKenzie, including Director of Practice Management, Director of Knowledge Management, Practice Support Lawyer and Associate. Nathan also was an Associate at Brobeck Phleger & Harrison.

Tyler Dorf Managing Associate

New York

Tyler's practice has a focus on warehouse lending, secured credit facilities, and publicly registered and privately placed asset securitization transactions. His experience extends to various asset classes, encompassing marketplace consumer loans, solar loans, residential mortgages, student loans, credit card and charge card receivables, auto loans, and esoteric assets, including proved developed producing (PDP) oil and gas wellbores.

Before joining Orrick, Tyler was an associate in Chapman and Cutler LLP's Asset Securitization Department.

Tori advises clients on enhancing their data privacy and security profiles and building comprehensive global data protection programs. She provides guidance on issues relating to a vast array of state, federal and international privacy and cybersecurity laws, including:

• Section 5 of the Federal Trade Commission (FTC) Act

Prior to joining Orrick, Tori served as an in-house data privacy and security law clerk at a pharmaceutical company in Boston, at a large nonprofit corporation in New York City, and at an international oil and gas company in Beijing. She also worked on data privacy matters in the Office of the General Counsel of Northeastern University. Having worked across diverse business sectors, including life sciences, technology and energy, Tori brings an in-house perspective to her client matters.

Lauren has represented clients in connection with a broad spectrum of technologies, including small molecules, biologics, DNA sequencing, gene editing, recombinant DNA technology, and medical devices. She brings experience in litigation under the Hatch-Waxman Act and the Biologics Price Competition Innovation Act (BPCIA).

Kyle Drefke Partner

Kyle has represented clients in domestic and international financings, including syndicated credit facilities, private placements, and registered securities offerings. He has extensive experience in the development and structuring of long-term power purchase agreements with respect to thermal (nuclear, coal and natural gas) and renewable generation facilities. He has also represented clients in mergers and acquisitions (M&A), auctions, joint ventures, corporate restructurings and other general corporate matters.

Kyle has represented clients in various matters relating to the development, construction, ownership and operation of electric generation facilities in the United States, South America and Europe. His practice also includes the representation of clients seeking and obtaining substantial financing from the U.S. Department of Energy (DOE).
