David is passionate about his role as a trusted advisor to clients, and he immerses himself in the businesses of his clients to enable him to deliver impactful and strategic legal services.

Before joining Orrick, David practiced at another international law firm in New York.

Kim B. Goldberg Of Counsel

New York

Kim represents companies and individuals in a variety of complex commercial matters, including breach of contract, securities and stockholder litigation, borrower-lender disputes, trade secret misappropriation, and bankruptcy proceedings. She also has significant experience in white collar criminal and regulatory investigations and enforcement actions, as well as internal investigations. Kim regularly appears in courts across the country; before arbitration panels; and before regulators including the SEC, DOJ, and CFTC.

Kim maintains an active pro bono practice, including matters ranging from prisoners' rights to immigration issues and constitutional law.

Kim graduated from Harvard Law School, where she was an editor of the Harvard Law Review. She earned her B.A., with honors and distinction, and M.A. from Stanford University, where she was a member of Phi Beta Kappa.

Before joining Orrick, Kim practiced in the litigation departments of Milbank LLP and Wachtell, Lipton, Rosen & Katz.

Lauren M. Goldsmith Senior Associate

Lauren works on single plaintiff and class action employment matters, defending against discrimination, harassment, retaliation, and wage and hour claims in state and federal trial and appellate courts.  She also assists clients with conducting internal investigations and provides clients with guidance on pay equity-related matters.

Prior to joining Orrick, Lauren spent more than seven years as an associate in the litigation group of Sullivan & Cromwell LLP representing clients in complex litigation matters, including commercial and employment actions.  Lauren's practice at Sullivan & Cromwell also included an active pro bono docket focusing on reproductive rights and LGBTQ and immigration issues.

Jolie Goldstein Chief Communications Officer

Jolie also plays a leadership role in the firm’s client relationship program. She works with the firm’s relationship partners and client teams globally to ensure optimal communication, offer value added relationship benefits, and meet clients’ service and relationship expectations in the fast-changing legal market.

Jolie has more than 20 years of experience in law firm communications and business development. She began her career at the New York-based international law firm of Rogers & Wells, where she built the firm’s marketing and communications department and served on the senior team that orchestrated Rogers & Wells’ three-way combination with U.K.-based Clifford Chance and Germany-based Punder. As head of Business Development for the Americas Region at Clifford Chance, she led the rebranding of the Americas practice and collaborated with colleagues internationally to integrate the combined firm through the introduction of a global client relationship program and consistent, client-focused approaches to business development.

She is a competitive cyclist, a less competitive road runner and a novice mountaineer.

Howard Goldwasser Partner

His clients include investment banks, commercial banks, non-bank lenders and investment managers.

Howard is recognized as a market-leading lawyer, in particular in the U.S. CLO space. He has advised on the structuring of U.S. CLOs and CDOs since the emergence of the U.S. CLO and CDO markets in the mid-1990s and was among a small group of pioneering lawyers to advise both arrangers and collateral managers in the first  “CLO 2.0” transactions that emerged as markets recovered from the 2008-2009 financial crisis. His work there included innovative approaches to compliance with securitization risk retention, in particular with respect to the creation of so-called “CMVs” (capitalized management vehicles) and “C-MOAs” (capitalized majority-owned affiliates) designed to enable CLO managers to source third-party debt and equity to facilitate compliance with both the U.S.'s and the European Union's securitization risk retention rules. He was also an innovator in the area of CLO warehousing, where he designed traditional and non-traditional warehousing programs for CLO arrangers.

Howard also represents banks and non-bank lenders on syndicated and bilateral financings, senior secured term loan financings, receivables- and other asset-based financings, in particular, and both issuers and underwriters in many credit card securitizations.

Douglas E. Goodfriend Partner

He frequently serves as bond counsel to municipal issuers participating in the financing programs of the New York State Environmental Facilities Corporation and the grant and loan programs of the Rural Development division of the United States Department of Agriculture.

Douglas' particular areas of New York municipal law interest include open spaces programs and financings, town and county improvement district formation, consolidation and improvement, innovative lease-purchase financings, bond resolution referendum law, village local improvement programs and the drafting of local laws and propositions, as well as state legislation on behalf of clients.

Douglas is a frequent speaker at municipal professional organizations on local finance law, federal securities law and federal tax matters affecting municipal debt issuance.

John D. Grant Sr Engy&Infra Career Associate

In the energy sector, John's work focuses on project finance and development, general corporate matters and miscellaneous investor arrangements in all phases of the development, financing, construction and operation of primarily renewable energy projects. In the infrastructure sector, his work focuses on the development, construction, operation, maintenance and financing of complex infrastructure projects with a focus on public-private partnerships.

John was a summer associate with Orrick in 2012. Prior to joining the firm, he served as law clerk for the City of Pittsburgh Department of City Planning and law clerk for the U.S. Department of Housing and Urban Development, Pittsburgh Office of General Counsel.

Rebecca Greene Senior Associate

Rebecca has broad experience representing corporations in all stages of litigation, including pre-suit demands, motions to dismiss, fact and expert discovery and depositions, summary judgment, trial preparation, and trial.  Rebecca has drafted various briefs for federal and state proceedings encompassing numerous substantive issues, including administrative law, constitutional law, civil procedure, evidentiary issues, business and contract disputes, and class actions.

Throughout her time at Orrick, Rebecca has maintained an active pro bono practice, largely focused on immigration issues.

Rebecca previously served as a law clerk to Hon. Thomas F. Hogan at the United States District Court for the District of Columbia and Hon. Judith C. McCarthy at the United States District Court for the Southern District of New York.

Manny Grillo Partner

In addition to troubled companies, his clients include investment funds, sponsors and other financial institutions, whom he counsels on insolvency and restructuring matters related to complex financings and securitizations. He also represents sellers and purchasers in distressed merger and asset transactions.

With significant experience across industries such as power, energy, real estate, transportation, technology, healthcare and financial services, Manny negotiates rescue and recapitalization financing transactions on behalf of both lenders and borrowers, including debtor-in-possession loans. He also litigates disputes arising in or from plan confirmations, lender liability matters, avoidance actions and liability management transactions. In addition, Manny represents clients in commercial litigation involving financial instruments and internal investigations in both state and federal courts.

Active in industry and civic organizations, Manny is involved with the American Bankruptcy Institute and the Microenterprise Project of Volunteers of Legal Services (VOLS) in New York City. He also recently served as a member of the Complex Chapter 11 Case Committee for the US Bankruptcy Court for the S.D. of Texas and the Editorial Advisory Board for Bankruptcy Law360.

Emin Guseynov Partner

Emin’s practice focuses on advising direct lenders in connection with a variety of finance transactions, including leveraged acquisitions and corporate financings. He also advises investment banks and other lending institutions in leveraged finance, marketplace lending and structured finance transactions. In addition, Emin represents Orrick’s corporate clients in connection with corporate finance transactions, project financings and debtor in possession financings.

Prior to joining Orrick, Emin was an associate at Milbank Tweed Hadley & McCloy LLP.
