He brings exceptional knowledge in structuring and financing of public-private, transport, telecom, energy transition, social infrastructure and real estate projects.

Paul also regularly advises clients in the fast-growing EnergyTech and InfraTech sectors.

He has extensive experience on all types of financings (senior, junior, mezzanine, loans, bonds) and related derivative instruments.

More generally, Paul advises on financing aspects of strategic assets in connection with project finance, M&A/private equity or restructuring transactions.

Aurélien’s practice focus on restructuring and insolvency matters.

He advises debt funds, hedge funds and other stakeholders (creditors, investors, buyers or debtors) in the context of financial or operational restructurings, whether amicable or judicial. He also advise entrepreneurs, managers, companies and investors on corporate matters independent of their restructuring activity.

Ranked "Next Generation Partner" in Restructuring by Legal 500 EMEA, Aurélien has recently acted for creditors and financial investors in high-stakes transactions involving listed companies such as Orpea, Pierre & Vacances - Center Parcs or Figeac Aero, as well as in various amicable and judicial midcap cases.

Prior to joining Orrick, Aurélien was a partner at an international UK law firm having previously worked in several international law firms based in Paris and New York.

Chek-Lhy Luu Senior Associate

She advises French and international groups on all French employment and labor law matters. In particular, on the following matters: company restructurings, merger and acquisition transactions, transfer of activity, collective and individual relationships, hiring and termination of top managers, litigation.

Prior to joining Orrick, Chek-Lhy was an associate for three years in the Employment, Pensions & Benefits department of Freshfields Bruckhaus Deringer, and for four years in the employment team of Linklaters.

Cécile Mariotti Partner

Paris

She has significant experience in both French and international tax matters and regularly advises on complex mergers and acquisitions, reorganizations, capital markets, and financing transactions.

Cécile works with French and international corporate groups across various sectors, both public and private, as well as financial institutions and investment funds. She also represents clients in their dealings with tax authorities, including ruling requests and tax litigation. Additionally, she assists in the structuring and implementation of employee stock offerings and management packages.

Cécile teaches a seminar on the tax aspects of LBOs as part of the Master in International Taxation program jointly offered by Paris II Panthéon-Assas University and HEC. She is a member of the International Fiscal Association (IFA) and the Institut des Avocats Conseils Fiscaux (IACF), where she served on the Corporate Tax Committee until October 2020. She is also a member of the Tax Committee of France Invest and has been appointed as a rapporteur for France at the IFA Congress in Lisbon in 2025.

In addition, Cécile serves on the board of the Alliance for the Financing of Femtech in France. She maintains an active pro bono practice in the tech sector and is strongly committed to initiatives and networks that support the long-term success of women leaders in business. Notably, she served as co-leader of the Women Enriching Business Committee in Paris at Latham & Watkins.

Before joining Orrick, Cécile spent four years in the tax team at Latham & Watkins, following seven years in the tax team at Cleary Gottlieb, working in both the Paris and New York offices.

He advises on investments and divestments, securities issues, cross-border and complex transactions, strategic negotiations and sensitive litigation. Alexis has advised many world leading companies, including:  Herige in the sale of its trading branch (materials, public works and natural stones) to Samse, BAE Systems in the acquisition of Eurostep, Alcentra and Fidera in their investment in Pierre & Vacances, Air France-KLM in its relations with KLM and the Dutch State, Veolia on the acquisition of Suez, LVMH in the acquisition of Tiffany, Euro Disney regarding the tender offer of The Walt Disney Company, L’Oréal on a share buyback from Swiss-based Nestlé and a sale to Nestlé of its stake in Galderma, and Club Med on the tender offer by Chinese conglomerate Fosun. Jean-Pierre Martel Partner

He is called on by boards and management teams to advise on mergers, divestitures, corporate acquisitions and restructurings as well as litigations and arbitrations. He is the founding partner of the premier French boutique Rambaud Martel, which combined with Orrick’s global platform in 2006.

Jean-Pierre has recently had a hand in the most significant cross-border deals in the French market. His work includes advising the board of Alstom on the $17 billion sale of its power units to General Electric, counseling L’Oréal on buying back 8% of its own capital from Nestlé, associated with the sale of assets, advising Peugeot’s family on the restructuring of Peugeot SA’s capital which involved China’s Dongfeng Motor Group and the French state, the board of Club Méditerranée in the context of competing take-over bids from China’s Fosun Group and Italia’s Bonomi’s Group, the board of Areva in the financial restructuring of the company.  

Chambers & Partners recognized Jean-Pierre as an “Individual Star” in Corporate/M&A, noting that he is a “seasoned and highly-respected M&A practitioner whose experience covers a wide range of transactional activities.

Jean-Pierre has also developed very substantial litigation and arbitration experience, being ranked Band 1 by Chambers in Dispute Resolution. Most notably, among his successes, the very high-profile Bernard Tapie Case where he has been assisting Consortium de Réalisation, the French government entity tasked with liquidating the assets of Crédit Lyonnais for the French State. Jean-Pierre won rulings from the Paris Court of Appeal in 2015 that withdrew initial arbitral awards that had required CDR to pay €404 million to Tapie’s liquidators and companies and sentenced them to repay CDR the full amount plus interests and costs. He has just succeeded in obtaining visible Court decisions which have released from any criminal liability charged persons with tax fraud.

Jean-Pierre also serves as an arbitrator in ad hoc, ICC and AFA arbitration proceedings.

He speaks and publishes regularly.

Jean-Pierre is the founder and a member of the board of the Institute for Brain and Spinal Cord Disorders - ICM, a state-approved foundation which is on its way to becoming the leading international research center in Europe in the Neurosciences.

Elise Naudin Managing Associate

Elise advises French and international companies on all employment law matters. She intervenes on collective and individual dismissals, as well as litigation and pre-litigation issues.

Prior to joining Orrick, Elise worked as a trainee in the Employment, Pensions & Benefits department of Hogan Lovells and Chanel’s social affairs department. She graduated from the Professional Master II Law and Practice of Labor Relations from the University of Paris II Panthéon-Assas.

Laurent Olléon Partner

Laurent intervenes alongside his clients with legal and financial issues, both in terms of advice and litigation situations perspective.

Laurent deals with numerous issues in various fields: the tax consolidation system and, more generally, intra-group relations, the handling of bilateral tax treaties, the taxation of financial transactions, property taxation and local taxation, etc.

His recognized experience in the avoidance of abuse of rights enables corporate tax directors, financial investors and individuals to better secure their investment choices and structuring their transactions. In addition, his intimate knowledge of tax litigation is a major asset for clients.

Laurent has advised many ministries and public institutions on legislative and regulatory developments and their implementation, which gives him an extensive practical vision of both public and private law. His past experience has allowed him to manage and draft legislative bills, which makes him an authority on administrative and parliamentary machinery.

Before joining Orrick, Laurent was a judge of the Conseil d’État and assessor at the Court’s ninth Chamber of the litigation section of the Conseil d’État, worked as deputy Chief of staff of Marylise Lebranchu, the French Minister for the Civil Service, State Reform and Decentralisation and Chief of staff of Anne-Marie Escoffier, Deputy Minister of Decentralisation.

Nadège Owen Partner

Nadège advises French and international companies on all employment law matters with a recognized experience on employment law aspects of corporate transactions. She regularly deals with employment law related issues arising in the context of restructurings (in particular social plans), mergers and acquisitions as well as more generally on all employment law aspects for domestic and international clients, regarding day to day issues, executive severance and relations with employee representatives and trade unions.  

Prior to joining Orrick, Nadège was an associate for eight years in the Employment, Pensions & Benefits team of Freshfields Bruckhaus Deringer.
