Margot also advises individuals on the management and transfer of their assets.
Before joining Orrick, Margot Janot worked in international firms such as Dentons, Pwc Law Firm and Fidal. She has also worked at the Klépierre real estate company and at the P20 section of the Parquet du TGI de Paris.

Jamie concentrates on a broad range of federal income tax matters, including tax issues related to cross-border stock and asset acquisitions, debt and equity offerings, collateralizations, reorganizations, cross-border financings and transfer pricing.

Maïten advises clients on French and international development, mergers and acquisitions, restructurings and real estate investments. She also advises companies and high net worth individuals on the management and transfer of their assets, management incentives, tax audits and litigations.

Barbara represents state and local governmental, for-profit and nonprofit corporations, and other market participants in the issuance of qualified 501(c)(3) private activity bonds for eligible residential rental projects for affordable and middle-income housing, as well as related infrastructure financing, including tax and revenue anticipation notes (TRANs). She serves as special tax counsel to one of the largest sports authorities in Texas, with the goal to promote local and community development, including maintenance and expansion of the city’s stadiums and parks.
She also has significant experience representing nonprofit organizations. Formerly an attorney with the Chief Counsel of the Internal Revenue Service, Barbara has represented clients before the IRS in a variety of matters involving tax-exempt bonds, including audits and private letter ruling requests. She has participated in all facets of the tax analysis associated with the issuance of governmental purpose bonds, certain tax credit bonds, qualified 501(c)(3) bonds, qualified residential rental bonds and qualified small issue bonds.
Barbara has served on the Steering Committee and has chaired the Working Capital panel and the Bond Direct Purchase - Advanced Tax Topics panel for the Bond Attorneys’ Workshop, the oldest and largest annual gathering of bond lawyers.

Cécile works with French and international corporate groups across various sectors, both public and private, as well as financial institutions and investment funds. She also represents clients in their dealings with tax authorities, including ruling requests and tax litigation. Additionally, she assists in the structuring and implementation of employee stock offerings and management packages.
Cécile teaches a seminar on the tax aspects of LBOs as part of the Master in International Taxation program jointly offered by Paris II Panthéon-Assas University and HEC. She is a member of the International Fiscal Association (IFA) and the Institut des Avocats Conseils Fiscaux (IACF), where she served on the Corporate Tax Committee until October 2020. She is also a member of the Tax Committee of France Invest and has been appointed as a rapporteur for France at the IFA Congress in Lisbon in 2025.
In addition, Cécile serves on the board of the Alliance for the Financing of Femtech in France. She maintains an active pro bono practice in the tech sector and is strongly committed to initiatives and networks that support the long-term success of women leaders in business. Notably, she served as co-leader of the Women Enriching Business Committee in Paris at Latham & Watkins.
Before joining Orrick, Cécile spent four years in the tax team at Latham & Watkins, following seven years in the tax team at Cleary Gottlieb, working in both the Paris and New York offices.

Prioritizing the importance of client relationships and formulating viable solutions tailored to each client’s unique strategic goals, Rich works extensively in the healthcare, energy prepay and public utilities and affordable housing housing sectors. He serves as the lead tax attorney on dozens of transactions each year. This substantial deal volume has given Rich experience with myriad complex and unique tax issues associated with such transactions and allows him to provide clients with practical guidance and market-tested advice.
Healthcare: Rich has focused on healthcare transactions for over two decades. Clients range from large systems such as Kaiser and Sutter to single-site hospitals. Deals include multibillion green bond deals to finance environmentally friendly improvements, complex acquisition financing deals, workout deals for financially distressed systems, smaller equipment financing deals, and everything between.
Energy Prepay and Public Utilities: Rich has served as tax counsel on many gas and electricity prepayment transactions for clients which include Black Belt Energy District and Southeast Energy Authority. Rich has worked with the Bonneville Power Administration and a California Electric Utility Company for over 20 years on a range of financing programs primarily aimed at financing and refinancing Bonneville’s nuclear generating resource and the California Electric Utility Company's generation, distribution, and transmission facilities. In addition, Rich has an extensive history working on deals for the San Diego County Water Authority and the San Francisco Public Utilities Commission.
Affordable Housing: Rich focuses on the tax-exempt financing of all types of housing projects, including 100% affordable projects that combine tax-exempt bonds with low-income housing tax credits, workforce housing projects that cater to middle income tenants, and mixed income housing.
Aside from transactional work, Rich is also an advocate, representing governmental issuers, conduit borrowers, and investment banks in IRS and other regulatory proceedings, including tax-exempt bond audits, voluntary closing agreement program (VCAP) requests, and requests for private letter rulings. Rich has successfully closed IRS examinations relating to multifamily housing, healthcare, solid waste, and arbitrage matters. He has been involved in numerous regulatory and legislative projects and has found that a strong working relationship with IRS and Treasury Department personnel facilitates obtaining good results.
Rich served on the Board of Directors of the National Association of Bond Lawyers (NABL) from 2011 to 2021 and, in 2019-20, was President of NABL. Rich has written and lectured extensively on the tax aspects of public finance transactions, having served as editor of the Federal Taxation of Municipal Bonds Deskbook, chaired the National Association of Bond Lawyers Bond Attorneys Workshop, and served on several other panels at industry seminars and roundtables. Rich became a fellow of the American College of Bond Counsel in 2018.

Chelsea advises clients on a wide variety of corporate transactions and debt and equity financings with an emphasis on advising developers and financing parties in structuring transactions to take advantage of tax credits and other available tax benefits. She advises clients in the wind, solar, carbon capture, and carbon sequestration industries.
Prior to joining Orrick, Chelsea practiced as a Tax associate in the Houston office of another international law firm.
During law school, Chelsea worked as a research assistant to professors Jonathan Masur and Daniel Abebe and served as an articles editor for the Chicago Journal of International Law, in which she also published her own comment on the regulation of space debris. Prior to practicing law, she pursued a graduate degree in geography with a focus on people's relationship to urban nature and political ecology and taught lab courses in physical geography.

Mary Kate's practice focuses on the tax aspects of development and financing for renewable energy projects, including federal tax incentives, tax credit transfers, and tax equity structuring.

John has extensive experience in stock and asset acquisitions, including tax-free reorganizations. He has represented purchasers, sellers and lenders in structuring acquisitions and negotiating the tax aspects of stock purchase and asset purchase agreements. Many of these acquisitions involved cross-border transactions.
Working with issuers, underwriters and investment funds, John has advised clients on numerous securities offerings, including securitization transactions, tender option bonds and high yield debt. Such offerings involved issuers in more than 40 countries.
John regularly works on the restructuring of transactions, including structured financings, project financings and energy and infrastructure projects. He advises on the tax planning aspects of such transactions.
Mr. Narducci has been involved in the development of tax-efficient financial structures, particularly in the cross-border context. For example, he has created tax-efficient structures for several investment funds. He also advises several financial institutions with respect to derivatives transactions, including the tax aspects of ISDA Master Agreements.
He also works with regulated and unregulated participants in the energy market on financings and a wide range of other transactions. Some of these transactions involve rural electric cooperatives.
John also advises on the tax aspects of pass-through entities, project financings and a broad range of other matters. He worked on the sovereign debt restructurings of Bulgaria, Costa Rica, Croatia, Nigeria, Poland and Vietnam.
