Our capital markets team offers investment banking clients guidance across multiple jurisdictions and draws upon the support of our leading Banking & Finance, Intellectual Property, Compensation & Benefits, Litigation and other industry and regulatory practice groups to provide comprehensive guidance on both capital markets transactions and securities laws and developments generally.
We work on capital markets transactions and advise on compliance with securities laws in the United States and Europe. Our global team is composed of experienced practitioners and our practice has been ranked by leading guides, including Chambers Global, Chambers USA, Chambers Europe and Legal 500.
United States – Working closely with our market-leading Technology Companies Group, we have strong experience representing start-ups in the technology sector as they go through their initial public offerings and become public companies. Our Equity Capital Markets team has a balanced practice representing both issuers and underwriters. Among our recent engagements were the IPOs of Arcadia Biosciences, Ooma, On Deck Capital and Rapid7. We also represent issuers and underwriters in connection with PIPEs, SPACs and convertible debt offerings. Our Debt Capital Markets team primarily represents longstanding corporate issuers in all aspects of their financing needs as well as supporting our Energy & Infrastructure and Banking & Finance teams on debt securities components of their transactions.
London/Europe – We advise issuers, sponsors and nomads on IPOs and follow-on offerings on the Main Market of the London Stock Exchange and the AIM Market, as well as bond offerings. Our recent engagements include representing RockRose Energy in its acquisition by Viaro Energy via a £248 million recommended cash offer, as well as advising London SPAC Kistos on its de-SPAC acquisition of Tulip Oil Netherlands.
We act as outside corporate counsel advising management, boards of directors and board committees on governance matters, including a broad range of complex transactions regarding numerous local, state and federal regulations, securities law, legal compliance, fiduciary duties, board oversight responsibilities and related matters. Our public company clients look to us for advice on all aspects of public company reporting, including preparation of annual and quarterly reports, proxy statements and other ongoing reporting questions.
We advise issuers and underwriters on capital markets transactions globally. We have advised clients on listings on the main international capital markets, including the Nasdaq Market, the New York Stock Exchange, the London Stock Exchange and the Hong Kong Stock Exchange.
