Governance for Small and Mid-Cap Companies

Knowing When to Say "Yes" and When to Say "No"

Webinar | September.10.2024 | 1pm - 2pm (Eastern Standard Time)

Virtual

Good corporate governance for small and mid-cap companies is not well defined. Many companies experience conflicting guidance from advisors and board members on what proper governance entails, and the advice may come across as heavy-handed and even impractical. In this seminar, small and mid-sized companies will learn about the mission critical governance practices they should be embracing and the things that they should say “no” to.

Topics include:

  • Effective board and management oversight of risk
  • Board composition and refreshment
  • "Say on Pay" issues
  • Managing investors expectations at both the institutional investor and retail level
  • When and why to do off-season shareholder engagement
  • Effectively leveraging data to determine governance priorities

For the fourth and final session in our 'Navigating Financial Markets' series, Orrick's J.T. Ho will be joined by Antoinette Behan, Chief Revenue Officer at Edgar Agents, and Zally Ahmadi, SVP of Corporate Governance, ESG & Compensation at D.F. King.
