The shareholders of LANCOM Holding GmbH have reached an agreement with Rohde & Schwarz-Group on its participation in LANCOM Holding GmbH. As part of the agreement, Munich-based Rohde & Schwarz will take over all shares of Aachen-based S-UBG AG and an unnamed family office. The remaining shares in LANCOM will be held by founder and managing shareholder Ralf Koenzen, managing shareholder Stefan Herrlich and founding shareholder Carl-Thomas Epping. The acquisition is subject to the approval of the regulatory authorities.
LANCOM Holding GmbH is the sole shareholder of LANCOM Systems GmbH, a leading German manufacturer of network solutions for business and public sector customers, such as routers, gateways and WLAN solutions which are developed and produced in Germany. Rohde & Schwarz is a Munich-based electronics group and one of the leading global providers of test and measurement equipment, broadcast and media equipment, IT security, secure communications, and radiomonitoring and radiolocation equipment.
LANCOM Holding GmbH's shareholders were advised by Orrick, Herrington & Sutcliffe LLP and Hamburg-based law firm Renzenbrink & Partner.
