Orrick Advises DOCOMO on $40 Billion Tender Offer by NTT

Orrick is advising Japan's largest wireless telephone operator NTT DOCOMO, INC. (DOCOMO) on an approximately $40 billion tender offer by its parent company Nippon Telegraph and Telephone Corporation (NTT), one of the largest telecommunications companies in the world. The tender offer is the largest-ever for a Japanese company. As part of the transaction, NTT, which controls 66% of DOCOMO, will pay 3,900 yen a share to acquire the shares it does not already hold and take DOCOMO private.

Orrick advised on the U.S. law aspects of the transaction with a cross-border team led by Hiroshi Sarumida and assisted by Asami Ono, Kei Kato and Benjamin Miller. The team also includes Richard Smith and Harry Clark.
