Heather is a strategic tax and securities advisor who focuses on compensation and benefits matters.

She supports companies and executives in the design, implementation and administration of:

  • Equity incentive plans and employee stock purchase plans,
  • Employment agreements and severance arrangements,
  • Change in control carve-out plans,
  • Employee benefit arrangements, and
  • Proxy statements, annual reporting and compensation disclosures

Heather also advises on issues that arise in a transactional context, including mergers and acquisitions, company financings and public listings.

Before law school, Heather taught high school students with autism spectrum disorders and learning disabilities in inclusion and specialized classrooms.
