Mason is a Senior Associate in Orrick's Houston office. He represents clients in the acquisition, development, financing and disposition of energy projects across the United States.

Mason guides clients through their most significant energy transactions, from initial project development and M&A to debt and tax equity financings. This breadth of experience across the project lifecycle gives him valuable insight into what makes energy ventures successful, enabling him to help clients anticipate challenges and capture opportunities.  Mason enjoys working closely with clients to manage risks and make projects successful.

Mason has a particular focus on real property matters, including negotiating site control documents, implementing shared facilities structures, and navigating title, survey and mineral issues. He is proud to work with a deep bench of talented attorneys at Orrick to efficiently handle large and complex transactions while maintaining keen attention to detail.

    • A public utility in the acquisition and development of renewables projects across in Texas, New Mexico, Colorado, Minnesota and Wisconsin, totaling over 4 GW.
    • A major oil and gas company in the purchase of a development-stage renewable energy portfolio.
    • Multiple independent power producers in the structuring and negotiation of site control for wind, solar and battery storage projects.
    • Multiple independent power producers in the acquisition and development of development-stage renewable energy projects across the United States.
    • Developers in the structuring of shared facilities arrangements for multi-phase renewable energy projects.
    • Multiple sponsors in tax equity financings of portfolios of C&I and utility-scale solar and battery projects. 
    • Borrowers in construction financings for renewable energy projects. 
    • An energy-focused private equity firm in the development of multiple midstream pipeline systems.
    • A public utility in the repowering of four operating wind projects in Minnesota.
    • Several private equity firms and investment funds in the evaluation of the real estate rights of target wind, solar, oil, gas, traditional power and geothermal energy projects and portfolios.
    • The sponsor in the sale of an up to 2,000 MW development-stage wind project in Oklahoma.
    • A major oil and gas company in the development and implementation of a worldwide joint venture.
    • A tax equity investor in the sale of membership interests in two operating wind projects.
    • An energy-focused private equity firm in the acquisitions and financings of four natural gas storage facilities in the Southeastern United States.
    • A developer in the sale of a portfolio of early-stage wind projects totaling 1,250 MW throughout the United States.

    Pro Bono

    Mason is proud of his pro bono work representing non-profit institutions. He represented a non-profit lending institution in multiple financing transactions to facilitate a residential rooftop initiative in Washington, D.C. and a framework for developing community solar projects in remote Latin American communities. In addition, Mason has assisted multiple Houston-based non-profit organizations in the negotiation of commercial contracts and general corporate matters.
