M. Todd Scott is a Senior Associate in the Securities Litigation & Corporate Governance team. His practice focuses on defending companies and their officers and directors in securities class actions, shareholder derivative suits, mergers and acquisition litigation, and other shareholder-related disputes, and advising clients on corporate governance and disclosure matters.

Todd regularly advises companies and their boards on corporate governance best practices and fiduciary and disclosure duties, and has extensive experience in responding to shareholder litigation demands and other shareholder activism.

Before joining the firm, Todd was an associate at the San Francisco office of Clifford Chance US LLP. In his spare time, Todd is a musician, screenwriter and father to three fantastic kids.

  • Todd's notable engagements include:

    • In re Meta Platforms Stockholder Litigation. Obtained dismissal of shareholder derivative cases against Meta's board of directors in stockholder litigation that challenged "foundational principles" of fiduciary law. 
    • In re Luminar Securities and "Short-Swing" Litigation. Representing Luminar and its officers and directors in securities fraud class action and separate shareholder lawsuit challenging alleged short-swing insider trading. 
    • In re Apple Securities & Derivative Litigation.  Achieved favorable settlement for Apple and its executive officers in securities fraud class action and related parallel stockholder derivative litigation against the company's board of directors.
    • In re Block Securities & Derivative Litigation. Representing Block and its executive officers in securities fraud class action and related parallel stockholder derivative litigation against the company's board of directors.
    • In re Twist Biosciences Securities Litigation. Representing Twist Bio and its executive officers in securities fraud class action.
    • Large Venture Capital Firm.  Achieved complete victory in private internal arbitration for venture capital firm, awarded $23 million in damages, interest and fees. 
    • In re LendingClub Securities & Derivative Litigation. Obtained dismissal of securities fraud class action against LendingClub and its senior officers. The dismissal was affirmed by the U.S. Court of Appeals for the Ninth Circuit. Also obtained dismissal of stockholder derivative action against LendingClub's board of directors.
    • In re LendingClub Securities & Derivative Litigation. Obtained dismissal of securities fraud class action against LendingClub and its senior officers. The dismissal was affirmed by the U.S. Court of Appeals for the Ninth Circuit. Also obtained dismissal of stockholder derivative action against LendingClub's board of directors.
    • In re Nordstrom Derivative Litigation. Obtained dismissal of stockholder derivative action against Nordstrom's board of directors.
    • In re Identiv Securities Litigation. Obtained dismissal of securities fraud class action against former CEO and founder of Identiv.
    • In re Chesapeake Energy Securities, Derivative & ERISA Litigation. Obtained dismissal of multiple securities fraud class actions against Chesapeake Energy, its top officers, and board of directors. The dismissals were affirmed in precedent-setting opinions by the U.S. Court of Appeals for the Tenth Circuit. Also obtained dismissal of multiple stockholder derivative actions against Chesapeake Energy's board of directors, which were also affirmed in precedent-setting decisions.
