Alejandra is an accomplished project finance lawyer with a track record of advising on the full lifecycle of a project. Deeply experienced in the global energy and infrastructure markets, she guides clients on complex construction and term loans, tax equity partnerships, tax credit transfers and cross-border financings.

Alejandra advises sponsors, lenders and agents on all aspects of a project, from drafting, negotiation and review of traditional project documents, including EPCs, O&Ms and MSAs through procuring construction financing and term loans for the operation and maintenance of the asset. Her tax equity practice includes drafting and negotiating the traditional tax equity partnerships (for PFlip and TFlip structures) documentation, tax credit transfer agreements and advising construction and back leverage lenders in connection with tax equity portfolios.

Alejandra’s experience spans a range of power generating technologies and projects, from solar, wind and hydro to biofuel, carbon capture, oil and gas and LNG projects. She has also led financings for major international infrastructure projects such as airports, water treatment, power generation and toll roads.

A native Spanish speaker, Alejandra has worked extensively across Latin America, including Mexico, Chile, Uruguay, the Dominican Republic and Colombia.

    • Represented a U.S. bank as tax equity investor in a portfolio of battery energy storage systems in Texas and California.
    • Represented a U.S. bank as purchaser in a tax credit purchase agreement for tax credits from a battery energy storage system in Texas.
    • Represented a U.S. bank as tax equity investor in a utility-scale solar project in California.
    • Represented a U.S. bank as tax equity investor in a utility scale solar project in Texas.
    • Represented the tax equity investor in the investment tax credit equity purchase of a portfolio of community solar generation facilities throughout the Northeast with Sea Oak.
    • Represented the sponsor in the production tax credit equity sale of a 250 MW wind generation project in Texas.
    • Represented a U.S. bank and one of the nation’s largest corporations in the investment tax credit equity purchase of residential solar portfolios with Vivint, Tesla, and SunPower throughout the United States.
    • Represented a U.S. bank in an investment tax credit equity purchase in an up to 19MW biomass facility in California.
    • Represented U.S. bank in an investment tax credit equity purchase of commercial solar portfolios throughout the United States involving a large commercial off-take client.

    Renewable Energy

    • Represented the commercial lenders in the $175 million construction and back-leverage financing of a portfolio of 120MWac utility-scale solar generation facilities in Connecticut.
    • Represented the sponsor and project companies in the $66 million USDA construction financing of two waste-to-energy biomass projects in North Carolina.
    • Represented a national developer of utility-scale generation facilities in the $480 million construction financing of a 383.52 MW wind generation project in Michigan.
    • Represented a national developer of utility-scale generation facilities in the $230 million construction financing of a 250 MW wind generation project in Texas.
    • Infrastructure
    • Represented the sponsor in the export credit financing for the first transmission PPP in Uruguay.
    • Represented an international consortium in the bidding process for the purchase of a minority interest in a portfolio of toll roads in Mexico.
    • Represented the sponsor in the financing for the expansion of the Curaçao International Airport.
    • Represented the sponsor in the proposed construction and financing of an offshore water treatment plant in Mexico.
    • Represented export credit agencies and banks in the working capital facilities for copper and gold mines in Chile.

    Power and Oil & Gas

    • Represented a state corporation concerning the project development and financing of a carbon recapture and storage project in California.
    • Represented a sovereign state and state corporation concerning the project development agreements relating to efforts to develop a $40 billion LNG export project.
    • Represented the sponsor and project company in connection with the construction of the Lake Charles LNG 16.2 MTPA LNG liquefaction facility in Louisiana, including negotiation of the construction management agreement, the O&M agreement and the liquefaction services agreements.
    • Represented the sponsor in the financings of accommodations, operations, and maintenance vessels to provide services to Pemex in Mexico.
    • Represented the sponsor in connection with the Colombian Peso construction and operation of a hydro power plant on the Atrato River.
    • Represented the commercial lenders in the financing of a major natural gas pipeline in Mexico.
    • Represented the commercial lenders in the financings of shallow-water oil rigs (jack-ups) and deep-water oil rigs chartered to Pemex in Mexico.
    • Represented the commercial lenders in the financing of a gas-fired power project in Colombia.
    • Represented the commercial lenders in the leveraged financing for the purchase of oil and gas assets in the Dominican Republic.
    • Represented an export credit agency in connection with the potential financing of the Noreste, Topolobampo II and Topolobampo III IPP Projects with Mexico’s CFE (Comisión Federal de Electricidad).
