In the U.S. stock market, one of the most significant trends of 2020 has been the rise of the SPAC (Special Purpose Acquisition Company).
The volume of SPAC transactions has increased significantly in 2020, and SPAC transactions are becoming more-and-more relevant to Japanese entrepreneurs considering listing in the U.S., Japanese companies investing in unlisted venture companies in the U.S., as well as VCs. Despite this, the inner workings of a SPAC transaction remain relatively unknown in Japan.
In this session, Zac Padgett, a senior associate in Orrick’s Portland office who has led numerous SPAC related deals including advising SOC Telemed in its SPAC transaction, and Tokyo partner Hiroki Sugita will discuss the process for SPACs in the U.S. as well as the advantages and challenges of using this method of taking an unlisted company public.
