Rachel Conder

I am an Associate in Orrick's Technology Companies Group and have experience working with companies of all stages, as well as venture capital funds and investors, on a broad range of corporate matters including venture capital, mergers & acquisitions and day-to-day corporate advice. I trained at Orrick, during which time I also gained experience in Orrick's Banking & Finance and Mergers & Acquisitions and Private Equity teams.

  • What inspires you about working with tech companies?

    It is exciting to be able to see, and be a part of, the journey of our clients as they build their companies, particularly the clients that we advise from an early stage. The founders we work with are at the forefront of innovation and it is inspiring to work with them as they build their ideas and navigate the ever-changing tech market.

  • If you weren't a tech lawyer, what would you do?

    I would be a ski instructor or a police detective (or, even better, both if I could spend the winter months away in the mountains!)

  • Tell us something we'd be surprised to know about you.

    Prior to becoming a lawyer, I spent a year and a half working and living abroad in France (Morzine) and Italy (Lake Garda) as a holiday rep and Australia (Sydney) in a restaurant. Despite living in Sydney for 6 months, I am still terrified of the sea…

  • What is your ideal weekend?

    Catching up with family and friends, popping down to the local pub, listening to some live music and finishing off the weekend with a home cooked Sunday roast.

  • What's the best advice you've ever received?

    Try not to spend time worrying about the things you can't control.

    I represent private and public companies, as well as private equity funds and their portfolio companies in all aspects of their business. I regularly advise clients on a variety of transactions, including domestic and cross-border stock and asset acquisitions, leveraged buy-outs, strategic add-ons and carveout transactions. I work across a wide range of geographies and industries, including a primary focus in the tech, finance, energy and infrastructure sectors.

      Keen about tech, I work with start-ups and scale-ups from incorporation to M&A exit, through financing rounds and other growth opportunities. I also work alongside Italian and international venture capital firms in their investments across a variety of tech industries.

      • What inspired you to become an emerging companies and venture capital lawyer?

        Working in venture capital makes me feel like part of an ecosystem that, day by day, brings together players who aim to address new societal challenges and needs, contributing to the development of our country's economy. I love that I can face the challenges (legal and otherwise) that characterize venture capital closely with clients, especially with the founders. I see each transaction as a journey of mutual growth: we learn from our clients as much as they learn from us.

      • Where do you find inspiration in life?

        I usually find my inspiration in art, in traveling, but also in taking my own time to reflect.

      • Tell us something we'd be surprised to know about you.

        I enjoy speaking in public and sometimes I act as a stand-up comedian.

      • Tell us about a favorite book, work of art or piece of music?

        One of my favorite books is called "The Usefulness of the Useless," which explores the importance of engaging in activities that are not solely utilitarian. As someone who is inspired by art, landscapes and music, I find this perspective profoundly true.

        • What inspires you about working with tech companies?

          I've always been at the forefront of technology, an early adopter at core, often the very first one of my friends to have the latest gadget and test it for them. (Geek much ??) Now, having the incredible privilege to work with those who invents those technologies and allowing to get the earliest of peak into the future is simply the most inspiring thing for me!

        • Where do you find inspiration in life?

          As an extravert, I find inspiration in people, in their energy, in discussing with them, debating and constantly being challenged by new ideas, new paradigm, new views. And of course, in the (almost always) ever loving look of my children!

        • What's the best advice you've ever received?

          Learn how to thrive into an (your) environment where you are accountable but without responsibility.

        • What's your mantra?

          Attention to details is everything, every time! Don't even lose sight of it.
